Lloyd A. Schmidt, Shareholder

Lloyd Schmidt is a member of the Corporate, Tax & Business Transactions Department. He joined Hopkins & Carley in 1998.

Mr. Schmidt specializes in business start-up and operations issues such as choice of entity, incorporation, LLC and partnership formation, operation, dissolution, drafting, contract review and negotiation. He also represents a number of franchises in the buying and selling of franchise locations, including McDonald's restaurants.

Mr. Schmidt holds a Juris Doctor degree from Santa Clara University School of Law and a bachelor's degree from Santa Clara University. Mr. Schmidt was admitted to the State Bar of California and the United States District Court, Northern District of California in 1981. He is also admitted to practice law in Illinois and Indiana. Prior to joining Hopkins & Carley, Mr. Schmidt was the sole principal for San Jose-based Schmidt Law Offices. He was an associate with McCarthy & Hager Law Corporation and held a position at Peninsula University College of Law as a lecturer in law.

Mr. Schmidt is the author of a number of articles for the Santa Clara County Business Magazine, including: "Return of Your Security Deposit" in Sept./Oct. 1984; "Qualifications of Stock and Closely Held Corporation" in July/Aug. 1984; and "Corporate Director Liability" in Nov./Dec. 1983.
